Annual Bonus Payment definition

Annual Bonus Payment means the sum of annual discretionary bonuses (in cash and, if applicable through the Company’s deferred bonus plan or otherwise) paid to the Executive over the three years immediately prior to the Termination Date divided by 3;
Annual Bonus Payment means the sum of annual discretionary bonuses (in cash and, if applicable through the Company’s deferred bonus plan or otherwise) paid to you over the three years immediately prior to the Termination Date divided by 3; (or averaged over whatever shorter period you have been employed if this is less than 3 years).
Annual Bonus Payment as defined in Section 4.12.

Examples of Annual Bonus Payment in a sentence

  • On the Annual Bonus Payment Date for such year, the Company shall pay the Executive his Annual Bonus determined based on actual achievement of the performance targets.

  • In any event, for purposes of Section 409A, the Annual Bonus Payment will not be considered earned by the Executive until the completion of the annual audit of the Company’s consolidated financial statements.

  • Conversely, if Executive would be entitled to a larger Annual Bonus Payment under the restated financial statements, the Company shall pay to Executive the difference between what the Executive has previously been paid and what the Executive would have earned under the restated financial statements.

  • The Pro Rata Annual Bonus Payment will be paid at the time the Company ordinarily pays incentive bonuses to its executives with respect to the fiscal year in which the termination occurs.

  • Earnings Before Taxes and the amount of each Annual Bonus Payment shall be determined by the Company's independent certified public accountants (the "Accountants"), or such other party as mutually agreed by the parties hereto, in accordance with GAAP as consistently applied by the Company (as specifically modified hereby).
