Angionetics Know-How definition

Angionetics Know-How means all scientific, medical, technical, regulatory, manufacturing and other information relating to the Product (including Data): (a) to the extent Controlled by Angionetics or its Affiliates as of the Effective Date or during the term of this Agreement, and (b) that are necessary for Licensee to exercise its rights or perform its obligations under this Agreement.

Examples of Angionetics Know-How in a sentence

  • Angionetics agrees, upon Licensee’s request after the Effective Date, to provide Licensee with a copy of all copyable Angionetics Know-How related to manufacturing the Product to Licensee, and to use Commercially Reasonable Efforts to cause its third party contract manufacturer(s), including SAFC®, located in Carlsbad, California, to do the same.

  • On or after the Effective Date and upon request by Licensee, Angionetics shall provide Licensee with the Angionetics Know-How that is necessary for Licensee to manufacture the Product in mainland China and/or commercialize Product in the Territory for use in the Field, in each case consistent with Article 2, including, any and all Data from any and all worldwide clinical trials and preclinical studies of the Product conducted by Angionetics that are completed as of the Effective Date.

  • During the Term, each Party shall provide to the other Party, in a timely fashion and as promptly as possible, all Data Controlled by such Party, and any and all additional Angionetics Know-How that such Party reasonably considers as necessary for the other Party to develop and/or commercialize Product in the Territory (in the case of Licensee) or outside the Territory (in the case of Angionetics), for use by such other Party in accordance with this Section 4.3.

  • During the Term, each Party shall provide to the other Party, in a timely fashion and as promptly as possible, all Data Controlled by such Party, and any and all additional Angionetics Know-How that such Party reasonably considers as necessary for the other Party to develop and/or commercialize Product in the Territory (in the case of Licensee) or outside the Territory (in the case of Angionetics), for use by such other Party in accordance with this Section 4.2.

  • Licensee may not file Prosecute or Maintain any Patents that discloses any Angionetics Know-How.

  • After the Effective Date, upon request by Licensee, Angionetics shall provide Licensee with the Angionetics Know-How that is necessary for Licensee to develop and/or commercialize Product in the Territory for use in the Field, including, any and all Data from any and all worldwide clinical trials and preclinical studies of the Compound and/or Product conducted by Angionetics that are completed as of the Effective Date.
