Amount Available for Distribution definition
Amount Available for Distribution means pre-tax net income (excluding gain on negative goodwill) before deducting the Management Fees 1 and 2, which is calculated in accordance with the generally accepted corporate accounting principles.
Amount Available for Distribution means all amount received from each Investment, less the aggregate of: (i) all expenses incurred in connection with the ownership, maintenance, operation, construction and development of the Investments (on an Investment specific basis, including all amounts payable under the Management Agreement and any development and/or general contractor agreements as fees specific for Investment Management); (ii) amounts payable to third party lenders on account of principal, interest and other amounts payable under third party financing facilities in each case on a current basis; (iii) the amount of such capital and operating reserves as are established by the General Partner; (iv) general expenses of legal, accounting and similar third party services; and (iv) the amount of such additional reserves as the Manager or the General Partner, acting reasonably, shall determine to hold.
