AMO Group. AMO Group" has the meaning given it in the Contribution and Distribution Agreement.

Examples of AMO Group in a sentence

  • Each of Allergan and AMO shall cause to be performed and hereby guarantee the performance of any and all actions of the Allergan Group or the AMO Group, respectively.

  • Allergan and AMO each agree to take action or cause action to be taken to ensure that no distribution of account balances from the Allergan 401(k) Plan or AMO 401(k) Plan are made to any AMO Employee on account of the transfer of employment to the AMO Group, or the AMO Group ceasing to be an Affiliate of the Allergan Group as of the Distribution Date.

  • Except as otherwise provided in this Agreement, any claim or lawsuit brought by a current or former employee of an AMO Group member or an Allergan Group member, whether brought on, before or after the Distribution Date, and which has not been dismissed, waived, settled or otherwise finally adjudicated as of the Distribution Date, against an AMO Group member or Allergan Group member and relating to alleged wrongful acts shall be treated as follows.

  • After the Closing Date, AMO shall notify Allergan at the end of each quarter of any event occurring during such quarter that gives rise to any deduction in respect of the exercise of an Allergan Stock Option by an individual who is an employee of the AMO Group on the day after the Closing Date.

AMO Group. AMO and each corporation that was a Pre-Distribution Member and which, on the day after the Closing Date, will be a member of an Affiliated Group with respect to which AMO is the common parent. For purposes of this Agreement, the AMO Group shall exist as of the day after the Closing Date.

Related to AMO Group

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • MINORITY BUSINESS ENTERPRISE (MBE means an individual, partnership, corporation or joint venture of any kind that is owned and controlled by U. S. Citizens and residents of Ohio, who are and have held themselves out as members of the following socially and economically disadvantaged groups: Blacks, American Indians, Hispanics and Asians. Only businesses certified by the State of Ohio Equal Opportunity Division in accordance with Section 123.151 of the Ohio Revised Code shall be recognized as being MBE certified within the purpose of this invitation.
