EMORY hereby grants ALIMERA an exclusive option to expand the exclusive license granted under Article 2.1 to include the Optioned Field of Use under terms and conditions materially similar to the terms and conditions of this Agreement, as modified by the terms and conditions contained in the Amendment Terms attached hereto as APPENDIX D (hereinafter the “Amendment Terms”).

Definitions: Capitalised terms used but not defined in these Client Clearing Amendment Terms (V2) or the Amendment Agreement shall have the meaning given to them in the Original Agreement (including the Client Clearing Standard Terms incorporated into it as amended by these Client Clearing Amendment Terms (V2)).
