Amendment Payment definition

Amendment Payment has the meaning set forth in Section 4.1.
Amendment Payment means 2,390,679.92 EUR, to be paid by Coronado to OvaMed on January 11, 2011 (the “Amendment Payment Date”), calculated pursuant to section 5 of the 2010 Term Sheet and representing that portion of the Term Sheet Milestone Payment set forth on the Development Costs Schedule provided to Coronado prior to the Amendment Effective Date and attached hereto as Appendix 1.
Amendment Payment means the collective amount of any payments due from Buyer to Seller under the PPA that are applicable to the period beginning at 12:00:00 a.m. EST on April 11, 2022 and extending through and including the Termination Date as defined in the PPA.

  • Within [***] Business Day following the date of this Agreement, subject to satisfaction of the conditions set forth in Section 3(b) of this Agreement, the Purchaser shall pay to the Seller or its designee an amount equal to the Amendment Payment less the amount of Purchaser Amendment Expenses, by wire transfer of immediately available funds as directed by the Seller (the “Additional Investment”).


More Definitions of Amendment Payment

Amendment Payment has the meaning specified in Section 7.10(b).
Amendment Payment means $15,000,000. “Applicable Percentage” shall mean 100%.
Amendment Payment means the replacement cost of this Transaction were this Transaction being terminated and replaced with the amended transaction on the amended terms on the date on which it is being amended.
