Any required Amended Proposal Notice shall set forth the identity of the proposed purchaser and the material terms of the amended or modified proposed Approved Acquisition Proposal.
If following execution of this Agreement, Harbinger or the Company considers, acting reasonably, that any or all of the Tax costs associated with the Proposal and/or the Contribution and/or the group structure post-Completion could be mitigated or reduced (a "Tax Saving") then Harbinger and the Company shall discuss, in good faith, whether the Proposal and/or the Contribution could be amended (an "Amended Proposal") so as to achieve the Tax Saving.
