AMAU definition
AMAU means the average of the MAU for all calendar months of the applicable calendar year divided by 12. As used herein, the term “MAU” means for each calendar month, the total number of Users with Accounts in the Territory that access the Local Server and play the Localized Game during that calendar month. RGI may, in its sole discretion, utilize its own data, sampling, techniques and technologies to determine and/or corroborate Licensee’s reporting regarding MAU and AMAU in Licensee’s Monthly Statements. To the extent that RGI’s measurements of MAU and AMAU, as determined by RGI, or the measurements of MAU and AMAU as determined by RGI’s designated auditors pursuant to Section 7.14 differs from the reports of MAU and AMAU provided by Licensee, RGI’s or RGI’s designated auditor’s measurements, as the case may be, shall control and prevail.

To the extent that RGI’s measurements of MAU and AMAU, as determined by RGI, or the measurements of MAU and AMAU as determined by RGI’s designated auditors pursuant to Section 7.14 differs from the reports of MAU and AMAU provided by Licensee, RGI’s or RGI’s designated auditor’s measurements, as the case may be, shall control and prevail.
