The presence, in person, by telephone or by other form of two-way electronic communication permitted by Section 6.2(g), of a majority of the Representatives (including, in the absence of a Representative, the Alternative Representative of such Person) shall constitute a quorum for the transaction of business at any meeting of the Management Committee, provided that such majority includes at least one Representative (or Alternate Representative) of each Partner.
In the Representative’s absence, an Alternative Representative of that Party shall act in the Representative’s place over the full range of functions.
The Presiding Officer shall not vote but may designate an Alternative Representative from the same delegation.
The Representative or any Alternative Representative of a Party shall, before exercising the voting rights of the Party, have been granted powers by, or on behalf of, a proper authority, such as the Head of State, the Head of Government or the Minister of Foreign Affairs or the head of an executive body of any regional economic organization or as mentioned in footnote 1 above enabling them to represent the Party at the meeting and to vote.
Any action which may be taken by a Designated Representative may also be taken by an Alternative Representative and any party may rely thereon as if such action had been taken by the Designated Representative and such party will have no duty to inquire why the Designated Representative was unavailable to act.
Provided however, that TID’s Primary Representative and Alternative Representative shall be identified by written notice from its general manager to the General Manager.

In the absence of the Chair at any Management Committee meeting, the applicable Alternative Representative shall be the Chair for such meeting.
