Alternate Managers definition

Alternate Managers shall have the meaning given such term in Section 4.3(b).

Examples of Alternate Managers in a sentence

  • The Board may also have Alternate Managers, who shall take the place of Managers, should Managers be unavailable.

  • The Company agrees that, from time to time during the term of this Agreement and the Alternate Distribution Agreements (as defined in Section 20(a)), on the terms and subject to the conditions set forth herein and therein, it may issue and sell through the Manager or the Alternate Managers (as defined in Section 6(e) below), acting as agent and/or principal, up to an aggregate of 6,000,000 shares (the “Shares”) of the Company’s common stock, par value $0.01 per share (the “Common Stock”).

  • Alternate Managers may attend any meeting of the Joint Powers Board and in the absence of the appointed Manager have the right to vote on the behalf of the member local governmental unit that the Alternate represents.

  • Written notice of the time and place of all meetings of the Board must be given to all Managers and Alternate Managers at least five (5) Business Days prior thereto.

  • The Company must obtain Select Board approval for the Manager and Alternate Manager(s) and for any change in Manager or Alternate Manager(s), which may entail the Select Board’s review of a person’s suitability for such position.

  • The initial Managers and the initial Alternate Managers (as defined below) as of the Effective Date are set forth in Schedule 4.3. Each Manager appointed to the Board shall serve until his or her successor is duly appointed or until his or her earlier death, removal or resignation in accordance with this Article IV.

  • Alternate Managers may attend all Board meetings even if the Manager for which they are serving as the alternate attends the meeting.

  • The Company must obtain Select Board approval for the Manager and Alternate Manager(s) and for any change in Manager and Alternate Manager(s), which may entail the Select Board’s review of a person’s suitability for such position.

  • Special meetings of the Board to deal with Emergencies may be called by providing at least six (6) hours’ notice prior to the meeting to all Managers and Alternate Managers.

  • The decisions and resolutions of the Board of Managers shall be recorded in minutes, which shall state the date, time and place of the meeting (or the date of the written consent in lieu of a meeting), the Managers, Alternate Managers, and other Persons present at the meeting, the matters or resolutions put to a vote (or the subject of a written consent) and the results of such voting (or written consent).
