The Company agrees that, from time to time during the term of this Agreement and the Alternate Distribution Agreements (as defined in Section 20(a)), on the terms and subject to the conditions set forth herein and therein, it may issue and sell through the Manager or the Alternate Managers (as defined in Section 6(e) below), acting as agent and/or principal, up to an aggregate of 6,000,000 shares (the “Shares”) of the Company’s common stock, par value $0.01 per share (the “Common Stock”).
