Alpha Option definition

Alpha Option means an option to acquire shares of Alpha Common Stock granted pursuant to an Alpha Option Plan.

  • Each Alpha Option held by any of the Alpha Personnel or New Alpha Directors that is outstanding immediately before the Distribution Time shall be converted at the Distribution Time into a New Alpha Option.

  • Participation in the Non-ERISA Benefit Arrangements, including but not limited to the Alpha Option Plan and the ESPP, will cease for all Alpha Personnel at the Distribution Time.

  • Each Alpha Option held by any of the Generico Personnel or Gholdco Directors that is outstanding immediately before the Distribution Time shall be converted at the Distribution Time into a Gholdco Option.

  • If Huntsman Holdings gives such written notice within the Alpha Option Period then it shall have up to an additional ninety (90) days after it gives such notice to do all things necessary to consummate the transaction, including, but not limited to, receiving consents and entering into agreements.

  • If ▇▇▇▇▇ gives such written notice within the Alpha Option Period then the Management Stockholders shall have up to an additional 120 days after ▇▇▇▇▇ gives such notice to do all things necessary to consummate the transaction, including receiving consents and entering into agreements, and for the avoidance of doubt during such time the Qualifying Alpha Offer shall remain irrevocable by the Management Stockholder(s).

  • Huntsman Holdings shall have up to a period of thirty (30) days (the "Alpha Option Period") after the receipt of the Alpha Notice within which to notify such Minority Investor in writing that it wishes to purchase all (but not less than all) of such Units at the Alpha Price and upon the terms and conditions set forth in the Alpha Notice.

Related to Alpha Option

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to Exercise the Option.
