Allocation Share definition

Allocation Share shall have the meaning set forth in Section 11.8(a) hereof.
Allocation Share means Buyer’s most recent PCIA-vintaged share of RPS Energy, as determined by Seller, through Seller’s load forecasting processes to establish energy procurement revenue requirements for rate-setting purposes, within Energy Resource Recovery Account and/or Resource Adequacy proceedings, or successor proceedings. As of the Confirmation Effective Date, Buyer’s Allocation Share is listed in Appendix E.
Allocation Share or “Allocation Basis” means, with respect to (x) a proposed incurrence of Indebtedness pursuant to Sections 6.01(a)(xxxii) and/or Section 6.01(a)(xxxiv) and/or (y) a proposed incurrence of Indebtedness that complies with Section 9.02(a)(vii), in each case, (i) with respect to each Term Lender at any time, a fraction (expressed as a percentage, carried out to the ninth decimal place) equal to (A) a fraction (expressed as a percentage, carried out to the ninth decimal place), the numerator of which is the amount of outstanding Term Loans held by such Term Lender at such time and the denominator of which is the total aggregate amount of outstanding Term Loans at such time, multiplied by (B) 84.5% of the aggregate principal amount of such Indebtedness that is proposed to be incurred and (ii) with respect to each Class A Revolving Lender at any time, a fraction (expressed as a percentage, carried out to the ninth decimal place) equal to (A) a fraction (expressed as a percentage, carried out to the ninth decimal place), the numerator of which is the amount of outstanding Class A Revolving Loans held by such Class A Revolving Lender at such time and the denominator of which is the total aggregate amount of outstanding Class A Revolving Loans at such time, multiplied by (B) 15.5% of the aggregate principal amount of such Indebtedness that is proposed to be incurred. “Alternate Base Rate” means, for any day, a rate per annum equal to the greatest of (a) the Prime Rate in effect on such day, (b) the Federal Funds Effective Rate in effect on such day plus 1/2 of 1% per annum and (c) Adjusted Term SOFR on such day (or if such day is not a Business Day, the immediately preceding Business Day) with a maturity of one month plus 1% per annum. If the Administrative Agent shall have determined (which determination shall be conclusive absent manifest error) that it is unable to ascertain the Federal Funds Effective Rate or Adjusted Term SOFR, as the case may be, for any reason, the Alternate Base Rate shall be determined without regard to clause (b) or (c), as applicable, of the preceding sentence until the circumstances giving rise to such inability no longer exist.
