Alliance Program definition

Alliance Program means any Discovery Program for which GSK has exercised its Opt-In Right.
Alliance Program means any sales and marketing program pursuant to which an Originator acquires recovered Timeshare Property interests from sold out third-party unaffiliated resorts for resale.
Alliance Program means the collaborative research and Development, manufacturing, regulatory and Commercialization activities in the Exclusive Areas undertaken pursuant to a JRB-approved Work Plan conducted by the Parties in accordance with this Agreement or the Prior Alliance Agreement. The Alliance Program does not include such activities by a Party on Non-Alliance Products.

  • Nothing contained herein shall prevent GSK from exercising an Opt-In Right with respect to a Discovery Program at any time earlier than set forth in Sections 4.2.1 and 4.2.2 in which case such Discovery Program shall become an Alliance Program.

  • Upon becoming aware of any infringement of any of the other Party’s copyrights that are used in connection with the Alliance Program, such Party will promptly notify the other Party in writing of any such infringement and will provide the other Party with reasonable assistance in initiating and prosecuting any legal action against any infringer of the other Party’s copyrights.

  • In the event the other Party does not pay any monetary consideration to the acquiring Party during the Alliance Program for the license under this Section 3.6(b), then the other Party will not have any rights under such license after termination of this Agreement.

  • Notwithstanding Sections 14.2 and 14.3, each Party may disclose the financial results of the Alliance Program to its current and potential investors (including securities analysts) and rating agencies.

  • Any such offer must include a description of the material, a summary of its potential usefulness to the Alliance Program, the monetary costs associated with acquiring and using the offered material and a description of any contractual restrictions on or obligations associated with using the offered material in the Alliance Program.

Alliance Program means (i) any contract preclinical or clinical research program or other program for a Sponsor for which Quintiles and Variagenics make a proposal hereunder during the conduct of which Variagenics provides Variagenics Services or in which Variagenics Portions of this Exhibit were omitted and have been filed separately with the Secretary of the Commission pursuant to the Company's application requesting confidential treatment under Rule 406 of the Securities Act. or the Sponsor (under license from Variagenics) utilizes Variagenics Gene Rights, and in which Quintiles provides other services (directly or indirectly) to the Sponsor and (ii) any contract preclinical or clinical research program or other program for a Sponsor for which Quintiles and Variagenics make a proposal hereunder and during the conduct of which Variagenics provides Variagenics Services or in which Variagenics or the Sponsor (under license from Variagenics) utilizes Variagenics Gene Rights, and in which Quintiles does not provide other services (directly or indirectly) to the Sponsor. Alliance Programs will not include drug discovery or gene discovery alliances or other corporate alliances not involving CROs (including Quintiles) in which Variagenics participates.
Alliance Program means the collaborative commercial development program to be conducted by VARIAGENICS and WATERS pursuant to this Agreement and the Marketing Plan.
Alliance Program means a program established by Biogen to provide educational information and materials to persons using Product.
