The Requisite Approval includes any vote, consent or approval required under the Company’s Organizational Documents or the ALLCA in connection with the execution, delivery and performance of this Agreement and the consummation of the Merger and the other Transactions.
As soon as practicable after the Closing Date, the parties shall cause the Merger to be consummated by filing the appropriate documents with the Secretary of State of Delaware and the Secretary of State of Arizona, in such form as required by, and executed in accordance with the relevant provisions of, the DGCL (the “Certificate of Merger”) and the ALLCA, respectively.
Upon the terms and subject to the conditions set forth in this Agreement, and in accordance with the ALLCA, at the Effective Time (defined in Section 1.3), Merger Sub shall be merged with and into the Company (the “Merger”), the separate existence of Merger Sub shall thereupon cease, and the Company shall be the surviving limited liability company of the Merger with the name “Partners Rx Management LLC” (the “Surviving Company”).
Subject to the provisions of this Agreement, at the Closing the parties shall cause to be filed with the Arizona Corporation Commission appropriate articles of merger, executed in accordance with the relevant provisions of the ALLCA, to effectuate the Merger (the “Articles of Merger”).
