Each of ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇ and Ality ▇▇▇▇▇▇▇▇▇▇ acknowledge that they have reviewed the terms of this Agreement, the Transaction Documents and the Contemplated Transactions and have agreed to the terms hereto and thereto, as applicable, after having the opportunity to negotiate and consult with counsel of their choosing regarding the same.
Each of the Seller Parties hereby irrevocably appoints Ality ▇▇▇▇▇▇▇▇▇▇ (the “Sellers’ Representative”) as the sole and exclusive agent, proxy and attorney-in-fact for such Seller Parties for all purposes of this Agreement and all transactions, documents and other agreements contemplated herein, with full and exclusive power and authority to act on such Seller Party’s behalf as the Sellers’ Representative.
