  • No modification, amendment, waiver, termination or discharge of this Agreement or provisions hereof shall be binding upon Alibi unless confirmed by a written instrument and signed by Alibi.

  • Except as specifically provided above, with respect to the beneficial licensee, if any, you may not assign or transfer any of your rights or obligations under this Agreement, without the prior written consent of Alibi, which consent Alibi may withhold in its sole discretion, and any such attempted assignment or transfer without such prior written consent shall be null and void.
