Airworthiness Discrepancies definition

Airworthiness Discrepancies means any item discovered during the Inspection or prior to Closing that affects the airworthiness of the Aircraft, as determined by the Inspection Facility, which discrepancies must be corrected or repaired by Seller in order for Seller to deliver the Aircraft to Buyer at Closing in the Delivery Condition.

Examples of Airworthiness Discrepancies in a sentence

  • Upon the completion of the correction of the Airworthiness Discrepancies under this Section, Seller shall provide written notice to Buyer that the Airworthiness Discrepancies have been corrected.

  • As soon as reasonably practicable after Buyer’s acceptance of the Aircraft “as is”, or acceptance of the Aircraft subject solely to Seller's correction of Airworthiness Discrepancies and Good Working Order Discrepancies and Seller’s payment of all amounts owed in connection with the correction of such discrepancies, Seller shall diligently cause to be corrected all Airworthiness Discrepancies and Good Working Order Discrepancies at Seller’s cost and expense prior to the Final Closing Date.

  • Within three (3) business days of Seller’s receipt of the Prepurchase Inspection report, Seller shall undertake to have all Airworthiness Discrepancies identified in the Prepurchase Inspection report corrected at its sole cost and expense at the Inspection Facility.

  • Time is of the essence in the commencement and completion of repair work to correct the Airworthiness Discrepancies and Good Working Order Discrepancies.

  • Following the rectification of the Airworthiness Discrepancies and Good Working Order Discrepancies, the Seller shall cause the Aircraft to be delivered to the Delivery Location.

  • Buyer will cause the Inspection Facility to generate an inspection report (the “Inspection Report”) that will specifically identify any Airworthiness Discrepancies and Good Working Order Discrepancies and provide the report to Seller.

  • Seller agrees to deliver the Aircraft with (i) all Airworthiness Directives and Mandatory Service Bulletins complied with, (ii) all Airworthiness Discrepancies, if any, rectified prior to delivery.
