Airlines EBITDA definition
Airlines EBITDA means, with respect to any fiscal period, Evergreen Airlines’ net earnings (or loss), minus (to the extent included in such calculation of Evergreen Airlines’ net earnings (or loss)), extraordinary gains, and interest income, plus (to the extent deducted in such calculation of Evergreen Airlines’ net earnings (or loss)) interest expense, income taxes, non-cash extraordinary charges, depreciation and amortization for such period, expenses and fees incurred in connection with the consummation of the transactions contemplated by this Agreement, and non-cash deferred expenses and fees that are repaid by Borrowers to Existing Agent and the other financial institutions party to the PNC Credit Agreement on or before the Closing Date, in each case, as determined in accordance with GAAP.
