During each usage by Lessee, Lessee shall have possession, command, and operational control over the Aircraft, aircrew and maintenance; provided that during each reserved use by Lessor or other lessee of the Aircraft, Lessor or such other lessee, as applicable, shall have possession command and operational control of the Aircraft.
Upon each such change in the Aircraft, Lessor shall send to Lessee a revised Exhibit A - Leased Aircraft Subject to the Time-Sharing Agreement.
In addition, upon the return of the Aircraft, Lessor shall have no obligation with respect to the amount of any fuel or oil contained in the fuel or oil tanks of the Aircraft, it being agreed, however, that Lessee shall not be obligated to return the Aircraft with any fuel or oil other than as required pursuant to § 7(13) of Annex B.
Otherwise, the establishment and implementation of new or changed parking services or charges are at the sole, non-grievable, non-arbitrable discretion of the University.
During the last forty-five (45) days of the Term for the Aircraft, Lessor shall have the right to inspect the Aircraft and its records, including all maintenance, pilots and aircraft systems functional check reports, to determine whether the Aircraft and its records will be in compliance with the requirements for return at the expiration of the Term, including confirmation of the full serviceability status of each component of the Aircraft.
Furthermore, in the event Lessor intends to sell the Aircraft, Lessor shall have the right to terminate this Lease at any time upon giving Lessee one (1) month prior written notice of termination.
Lessee agrees that, with respect to the Aircraft, Lessor shall have all the rights and remedies of a first priority secured party under the UCC.
In the event of a Total Loss of the Aircraft, Lessor is named as sole loss payee for all insurance proceeds up to the Agreed Value.
In the event of any change in law affecting Lessee’s, Lessor’s, Lender’s or Mortgagee’s interest in the Aircraft, Lessor and Lessee shall consult and cooperate in good faith to mitigate the effect thereof.
Where, pursuant to this sub-clause (b), an engine or part is installed on the Aircraft, Lessor shall not be entitled to any ownership or Security Interest in such engine or part.
