AIL Assets definition

AIL Assets the properties and assets (real, personal or mixed, tangible or intangible) used or held for use in connection with, necessary for the conduct of, or otherwise material to, the Business of any member of the AIL Group.

Examples of AIL Assets in a sentence

  • Each member of the AIL Group has maintained all of its tangible AIL Assets in good repair, working order and operating condition subject only to ordinary wear and tear, and all such tangible AIL Assets are fully adequate and suitable for the purposes for which they are presently being used.

  • Each member of the AIL Group owns, or otherwise has full, exclusive, sufficient and legally enforceable rights to use, all of the AIL Assets (other than Intellectual Property which is addressed elsewhere in this Agreement).

Related to AIL Assets

  • Physical Assets means equity securities, debt securities, fixed income securities and units in exchanged traded funds.

  • General Assets shall have the meaning given it in Section 3.6(a) hereof;

  • Material Assets means with respect to any Person all Material interests in any kind of property or asset, whether real, personal or mixed, or tangible or intangible.

  • Pool Assets has the meaning set forth in Section 1.2(d) of the Agreement.

  • Additional Assets means (1) any property or assets used in a Related Business; (2) the Capital Stock of a Person that becomes a Restricted Subsidiary as a result of the acquisition of such Capital Stock by the Company or another Restricted Subsidiary; or (3) Capital Stock constituting a minority interest in any Person that at such time is a Restricted Subsidiary; provided, however, that any such Restricted Subsidiary described in clause (2) or (3) above is primarily engaged in a Related Business.
