AIG Affiliate definition

AIG Affiliate means (a) any corporation or other entity controlling, controlled by, or under common control with, AIG or (b) any managed account or investment fund which is managed by AIG or an AIG Affiliate described in clause (a) of this definition. For purposes of this definition, the terms “control,” “controlling” and “controlled” means the ownership, directly or through subsidiaries, of a majority of a corporation’s or other entity’s voting stock or equivalent voting securities or interests.

Examples of AIG Affiliate in a sentence

  • Each quote shall represent the interest rate per annum payable on the outstanding principal balance of such Shelf Notes at which an AIG Affiliate would be willing to purchase such Shelf Notes at 100% of the principal amount thereof.

  • If the Company should fail to execute and return to such AIG Affiliate within 2 Business Days following receipt thereof a Confirmation of Acceptance with respect to any Accepted Notes, such AIG Affiliate may at its election at any time prior to its receipt thereof cancel the closing with respect to such Accepted Notes by so notifying the Company in writing.

  • As soon as practicable following the Acceptance Day, the Company, and such AIG Affiliate which is to purchase any such Accepted Notes will execute a confirmation of such Acceptance substantially in the form of Exhibit C (herein called a “Confirmation of Acceptance”).

  • As soon as practicable following the Acceptance Day, the Company, AIG and each AIG Affiliate which is to purchase any such Accepted Notes will execute a confirmation of such Acceptance substantially in the form of Exhibit 3 attached hereto (herein called a “Confirmation of Acceptance”).

  • Each Quotation shall represent the interest rate per annum payable on the outstanding principal balance of such Notes at which AIG or an AIG Affiliate would be willing to purchase such Notes at 100% of the principal amount thereof.

  • Subject to Section 2.6 and the other terms and conditions hereof, the Company agrees to sell to an AIG Affiliate, and AIG agrees to cause the purchase by an AIG Affiliate of, the Accepted Notes at 100% of the principal amount of such Notes, which purchase price shall be paid in the currency in which such Notes are denominated.
