AI Platform means any proprietary software platform used by AI to provide the Services purchased by Customer under this Agreement, including "SHIFT".

AI Platform means (a) the proprietary coding, software, mathematical or probabilistic models that predict the likelihood of compounds being active against a specified biological target or having a particular ADMET parameter, automated design algorithms, evolutionary design algorithms, active learning algorithms, an integrated structural database, and structure-based design programs, in each case which are controlled by the Company or any of its Affiliates and which comprise the Company’s or any of its Affiliate’s artificial intelligence-based drug discovery platform; and (b) any enhancement, refinement, modification or improvement to any technology falling within the scope of (a); but in all events the “AI Platform” excludes the data, information and other output generated through the use of the foregoing items in (a) and (b) above, including identification of compounds and associated data and information.

AI Platform means a technology platform using artificial intelligence-based technology for discovering and designing the Drug Candidates that is Controlled by AUM or any of its Affiliates, including all updates, amendment, and improvements thereof.

  • Customer recognizes and agrees that hosting data online involves risks of unauthorized disclosure or exposure and that, in accessing and using the Spellbook AI Platform, Customer assumes such risks.

  • Upon termination of this Agreement, Customer will cease all use of the Spellbook AI Platform and delete all copies of the Documentation in its possession or control.

  • Rally retains all right, title, and interest in and to the Spellbook AI Platform, including without limitation all software used to provide the Spellbook AI Platform and all graphics, user interfaces, logos, and trademarks reproduced through the Spellbook AI Platform.

  • Customer will not: (a) permit any third party to access or use the Spellbook AI Platform in violation of any U.S. law or regulation; or (b) export any software provided by Rally or otherwise remove it from the United States except in compliance with all applicable U.S. laws and regulations.

  • Rally reserves the right (in addition to any other rights or remedies Rally may have) to suspend all Customer access to the Spellbook AI Platform if any Subscription Fees are overdue, until such amounts are paid in full.

  • Customer is responsible and liable for: (a) Users’ use of the Spellbook AI Platform, including without limitation unauthorized User conduct and any User conduct that would violate the requirements of this Agreement applicable to Customer; (b) any use of the Spellbook AI Platform through Customer’s account, whether authorized or unauthorized; and (c) allowing Customer Usage Data to be analyzed by the Spellbook AI Platform.

  • Customer recognizes that the Spellbook AI Platform and its components are protected by copyright and other laws.

  • Customer may reproduce and use the Documentation solely as necessary to support Users’ use of the Spellbook AI Platform.

  • online platform means a provider of a hosting service which, at the request of a recipient of the service, stores and disseminates to the public information, unless that activity is a minor and purely ancillary feature of another service and, for objective and technical reasons cannot be used without that other service, and the integration of the feature into the other service is not a means to circumvent the applicability of this Regulation.
