Each of AHC, Parent and Merger Sub is a corporation or limited liability company, as the case may be, duly formed, validly existing and in good standing under the laws of the State of Delaware, with full power and authority to conduct its business as it is now being conducted, to own or use the properties and assets that it purports to own or use, and, with respect to AHC, to perform all its obligations under the AHC Contracts.
As of the Closing, SCEI will have no liabilities or obligations, fixed, contingent or otherwise, other than pursuant to the AHC Purchase Agreement, the AHC Contracts, the Senior Loan Facility and the Transaction Agreements to which SCEI is a party.
To the Knowledge of Sheridan and SCEI, the exhibits to the AHC Purchase Agreement list all AHC Contracts, except as disclosed in writing to CPN prior to the execution and delivery of this Agreement.
