On the Effective Date, the Surviving Corporation shall succeed, without other deed or transfer, to all the respective rights, franchises, interests, and property, real, personal or mixed, AGAC, AGLA, AGD, SALIC, and WNL, and the Surviving Corporation shall be subject to all the debts and liabilities of AGAC, AGLA, AGD, SALIC, and WNL, in the same manner as if the Surviving Corporation had itself incurred the debts and liabilities.
