Aggregate Spread Value definition

Aggregate Spread Value means sum of (i) the number of Company Option Shares purchased upon exercise of the Company Stock Option multiplied by (ii) the excess, if any, of the average of the last reported sales prices on the Nasdaq Stock Market ("NASDAQ") of the Company Common Stock during the five trading days immediately preceding the Notice Date (or each applicable Notice Date, if the Company Stock Option is exercised on more than one occasion) over the Company Stock Purchase Price.
Aggregate Spread Value means, with respect to each Company Option, the amount determined by multiplying (x) the difference between the Per Share Cash Consideration and the per share exercise price applicable under such Company Option and (y) the number of shares of Company Common Stock subject to such Company Option.
Aggregate Spread Value means the product of (i) the amount of the difference between the closing price per share of Acquiror Stock on the Nasdaq National Market System (as provided by the Nasdaq National Market System or, if unavailable from such source, then as reported in the Wall Street Journal) for the date of termination of employment of the applicable employee (or, if such date is not a trading day, then for the trading day immediately preceding such date of termination) and the exercise price of each Exchange Option immediately after the Effective Time, as it may be adjusted for stock splits, stock dividends or similar events and (ii) the number of shares of Acquiror Stock issuable upon exercise of such Exchange Option.
