Aggregate Option Amount definition

Aggregate Option Amount means (i) with respect to the Fiscal Year ending December 31, 1998, an amount equal to $800,000 divided by the Closing Sales Price, (ii) with respect to the Fiscal Year ending December 31, 1999, an amount equal to $1,450,000 divided by the Closing Sales Price, and (iii) with respect to each Fiscal Year ending December 31, 2000 and December 31, 2001, an amount equal to the difference of (A) $2,250,000 minus (B) the then aggregate of the Annual Option Vesting Amount for each of the Fiscal Years prior to the Fiscal Year in question.
Aggregate Option Amount means an amount equal to the product of (a) the aggregate number of shares of Common Stock that are issuable upon full exercise, exchange or conversion of all Company Options and any other rights (whether vested or unvested) that are convertible into, exercisable for or exchangeable for, shares of Common Stock outstanding immediately prior to the Effective Time (other than Terminated Company Options) multiplied by (b) the Option Exchange Ratio.
Aggregate Option Amount means, with respect to any determination of the Aggregate Purchase Price, the product of (a) the Option Amount (representing the aggregate number of shares of Common Stock issuable in respect of stock options to be granted by Purchaser at or prior to the Initial Closing to all existing holders of options to acquire shares of common stock of the Company), times (b) either (i) the Average Price (if the end of the Measurement Period shall be the relevant Trigger Event) or (ii) the average price per share of the Common Stock of Purchaser on a Fully-Diluted Basis determined on the basis of the Consideration paid in the Acquisition (if an Acquisition shall be the relevant Trigger Event).
