Aggregate Net Cash Flow definition

Aggregate Net Cash Flow means, for any period, the aggregate of all Net Operating Income from all Collateral Properties minus (i) an implied manage ment fee of 3% of the annual gross revenues from all Collateral Properties and (ii) a deemed reserve for on-going capital expenditures of $0.20/ sq. ft of all Collateral Properties.
Aggregate Net Cash Flow means, for any period, the sum of (a) Net Cash Flow and (b) Net Cash Flow (as defined in, and computed in accordance with, the applicable Other Borrower Loan Documents) of each of the Other Properties then remaining subject to the Liens of the Other Mortgages.
Aggregate Net Cash Flow means, as of any date of determination, the Aggregate Net Operating Income (excluding interest on credit accounts) for the immediately preceding twelve (12) month period for those Properties subject to the Lien of a Mortgage and those CIGNA Properties subject to the Lien of a CIGNA Mortgage, all as of such date of determination, as reasonably determined by Lender, less (without duplication): (i) deemed contributions to escrows or reserves for FF&E Replacements equal to four percent (4%) of total gross revenue for the Properties for such period, plus deemed contributions to escrows or reserves for CIGNA FF&E Replacements equal to four percent (4%) of total gross revenue for the CIGNA Properties for such period, and (ii) the greater of (x) base management fees of two and one-half percent (2.5%) of total gross revenue for the Properties, plus base management fees of two and one-half percent (2.5%) of total gross revenue for the CIGNA Properties or (y) the actual base management fees plus any incentive management fees which are not subordinated to the payments under the Loan and the Mezzanine Loans for the Properties, plus the actual base management fees plus any incentive management fees which are not subordinated to the payments under the Loan and the Mezzanine Loans for the CIGNA Properties.

  • In the event the breach of Section 5.16 shall have been Cured prior to the end of the Cure Period, the calculation of the Aggregate Net Cash Flow shall again include Net Operating Cash Flow from such Collateral Property.

  • Borrower will furnish to Lender on or before forty-five (45) days after the end of each calendar quarter (a) a statement setting forth (i) the Aggregate Net Cash Flow for each calendar quarter and calendar year occurring during the full twelve (12) calendar month period immediately proceeding the date of such statement for which financial statements are available.

Aggregate Net Cash Flow means (i) the total gross income from the Properties for the Transfer Measuring Period less (ii) all operating expenses of the Properties during the Transfer Measuring Period (ie., expenses directly attributable to the operation, repair .and/or maintenance of the Properties, including, without limitation, Impositions, Premiums and management fees but excluding debt service payments, capital expenditures, vacancy allowances, income taxes of Borrowers and any non-cash charges or expenses such as depreciation);
Aggregate Net Cash Flow means the Net Cash Flow for all Properties, calculated on an aggregate basis.

  • Net Cash Flow means, with respect to the Property for any period, the amount obtained by subtracting Operating Expenses and Capital Expenditures for such period from Gross Income from Operations for such period.

  • Adjusted Cash Flow means, for any period (the “calculation period”), the sum, for the Borrower and its Consolidated Subsidiaries (determined on a consolidated basis without duplication in accordance with GAAP), of the following: (a) Operating Cash Flow for the calculation period minus (b) Capital Expenditures made during the calculation period (excluding Capital Expenditures made from the proceeds of Indebtedness other than Indebtedness hereunder).
