The Lessor hereby covenants that neither the Lease Agreement nor any Lease Payments nor any Aggregate Lease Payments or any portion thereof will be transferred, offered or sold unless (i) Lessor and its assigns have complied with all Federal and state securities laws applicable thereto and (ii) all of the conditions precedent set forth in Section 7.1 hereof have been satisfied.
The acquisition and funding of this Lease Agreement is not made with a view toward the public distribution of the Lease Agreement or any Lease Payments or Aggregate Lease Payments or for the purpose of offering, selling or otherwise participating in any other public distribution of the Lease Agreement or any Lease Payments or Aggregate Lease Payments.
The City shall lease the Lease Purchase Improvements for a term commencing on the Commencement Date and ending on the earlier of (a) date upon which the Developer receives the full amount of the Aggregate Lease Payments (whether as scheduled or in advance pursuant to Article XI), or (b) June 30, 2038; all unless terminated earlier as provided in Section 5.2 (the “Lease Term”).
Upon payment in full of the Aggregate Lease Payments, and any other amounts due and payable hereunder, the Developer shall transfer all of the Developer's right, title and interest in and to the Development Property and Lease Purchase Improvements to the City as provided in Section 5.3 of this Lease.
