Except as earlier permitted by or pursuant to the Plan or by resolution of the Committee adopted after the date hereof, the Option may be exercised from time to time and for the number of shares as follows: 50% of the Aggregate Grant on the first anniversary of the Award Date and 50% on the second anniversary of the Award Date.
With respect to each Performance Period, the Executive shall be eligible to receive a grant of RSUs (or other equity based grant permitted under the terms of the LTIP, such as options, stock appreciation rights, restricted stock, restricted stock units or other stock awards) (the “LTIP Grant”) pursuant to the LTIP, provided that such LTIP Grant does not cause the Maximum Aggregate Grant Value (as defined below) to be exceeded.
