Aggregate Financing definition

Aggregate Financing has the meaning set forth in Section 2.2(e) of Amendment No. 1.
Aggregate Financing means, with respect to each Supplier, a financing arrangement encompassed by this Facility in respect of the Maximum Contract Value and the Working Capital Amount of such Supplier in the following respective amounts: Nokia Supplier: $835,000,000 Siemens Supplier: $315,000,000 Alcatel Supplier: $275,000,000
Aggregate Financing means any form of tangible payment including any equity investment, public or private grants, loans, or convertible notes or any consideration, including without limitation from the sale of assets or received by the company in any joint venture or similar arrangement (including any in-kind support which must be detailed and quotes provided to document the monetary value) received by Company as described in Section 2.B.i) of this Option Agreement.

Examples of Aggregate Financing in a sentence

  • The Commitment Letters accurately set forth all of the material terms of the Aggregate Financing, including a true, correct and complete description of all of the material conditions to the Aggregate Financing.

  • To ensure compliance with the terms of this Agreement, the Shareholders shall have the right to inspect and audit Company Records (including the Development Report) and Company's bookkeeping records relating to the Core Technology, Assumed Liabilities, and the use of the Aggregate Financing Amount with the assistance of professional consulting, law and accounting firms that are reasonably acceptable to Company.

  • As regards that portion of each Purchase relating to each Supplier's Aggregate Financing represented by Tranche D (in each case, the "TRANCHE D ALLOCATION AMOUNT"), each Tranche D Lender will be obligated to fund its respective Tranche D Allocation Amount, by purchasing either its relevant Tranche D Note or a Tranche D Participation in such Note equal to such amount, as set forth in the Notice of Purchase relating to such Purchase in accordance with the provisions of this Article 2.

  • As of the date of this Agreement, there are no facts or circumstances actually known to Parent or Acquisition (exclusive of general market conditions) that in their good faith estimation would reasonably be expected to cause the Aggregate Financing not to be consummated.

  • The aggregate amount of this Note and the other convertible promissory notes (the “Other Notes”) issued to Lenders will not exceed the Aggregate Financing Amount.

  • Funds distributed by the Brazilian Collateral Agent in connection with a Notice of Disbursement shall be applied to each Supplier's Aggregate Financing in the manner set forth in clause (e) below.

  • Until the Borrowing Base Release Date, the Borrower shall from time to time prepay the Advances (and/or provide cover for Letter of Credit Liabilities as specified in paragraph (d) below) in such amounts as shall be necessary so that at all times the Aggregate Financing Amount shall not exceed the Borrowing Base, such amount to be applied, first, to Advances outstanding and, second, as cover for Letter of Credit Credit Agreement Liabilities outstanding.

  • The requested amount of each Purchase to be applied to, or in respect of, any Supplier's Aggregate Financing shall be in a minimum amount of $500,000.

  • If any inspection and audit of the Development Report discloses material discrepancies as to the Core Technology, the Assumed Liabilities, or the Aggregate Financing Amount applied to the Core Technology Development, then (i) Company shall pay to the Shareholders the reasonable fees and expenses charged by the professional consulting, law, accounting firms and (ii) the Parties shall promptly engage a mutually agreeable independent party to provide a final Development Report.

  • We reserve the right to qualify, replace, suspend or terminate any Services if any Personal Information or details of the nature of any Services you require to be provided is incorrect, whether the booking/reservation has been confirmed by us or otherwise, and we will, where applicable, provide you with prior notice of any such change so that you may decide whether you wish to continue to make use of the Services after such change.

Related to Aggregate Financing

  • Aggregate Capital means, on any date of determination, the aggregate amount of Capital of all Purchaser Interests outstanding on such date.

  • Alternative Financing has the meaning specified in Section 7.6(b).

  • Aggregate Debt means the sum of the following as of the date of determination:

  • Aggregate Invested Amount means, as of any date of determination, the sum of the Invested Amounts of all Series of Certificates issued and outstanding on such date of determination.

  • PIPE Financing has the meaning set forth in the recitals to this Agreement.
