Aggregate Appraisal Value the aggregate value of all Eligible Real Estate as set forth in Appraisals delivered to the Agent by the Borrowers or any of its Subsidiaries.
Aggregate Appraisal Value means the product of (x) the aggregate number of Appraisal Shares determined at Closing, and (y) the sum of (1) the Common Cash Consideration (before any adjustment pursuant to Section 2.1(f)) and (2) the product of the Exchange Ratio (before any adjustment pursuant to Section 2.1(f)) and the Closing Parent Share Price.
