The Termination Letter furnished in accordance with this Section 2.10 shall be effective upon receipt thereof by the Administrative Agent, at which point AGFI shall cease being a “Borrower” for all purposes of this Agreement and all provisions of this Agreement applicable to AGFI shall cease to so apply.
There are no legal or arbitral proceedings, or any proceedings by or before any governmental or regulatory authority or agency, now pending or (to the knowledge of either Borrower) threatened against AGFI, the Company or any Subsidiary that are likely (either individually or in the aggregate) to have a Material Adverse Effect.
So long as all principal of and interest on all Loans of AGFI and all other amounts payable by AGFI hereunder shall have been paid in full, the Company may terminate the status of AGFI as a Borrower hereunder by furnishing to the Administrative Agent (which shall promptly deliver a copy to each of the Banks) a letter (the “Termination Letter”), substantially in the form of Exhibit G hereto, duly completed and executed by the Company and AGFI.
Since December 31, 2007, there has been no material adverse change in the consolidated financial condition, operations or business taken as a whole of AGFI and its Subsidiaries or the Company and its Subsidiaries, as the case may be, from that set forth in said respective financial statements as of said date.
Notwithstanding the foregoing, the delivery of the Termination Letter with respect to AGFI shall not affect any obligation of AGFI theretofore incurred hereunder.
