The Borrower shall cooperate in good faith to provide Hilco Global, as the intellectual property expert of the Administrative Agent (the “Agent IP Consultant” with reasonable access to information and records necessary or useful for the Agent IP Consultant to examine and value the intellectual property of the Ebix entities.

If Ambrx holds any rights, title, or interests in any BeiGene Agent IP, BeiGene Technology Platform IP or Compound IP, then Ambrx hereby does and agrees to assign any and all right, title in interest to any BeiGene Agent IP, BeiGene Technology Platform IP or Compound IP to BeiGene together with the right to file or own applications for any Patent and any Patent issuing thereon.
We are not granting you any right, license or authorization with respect to the Harmony Agent IP except as we’ve specifically provided in Section 2 above.
