He has served as Chief Financial Officer of FAFLIC, AFLIAC, APY, Hanover, Citizens and Citizens Insurance since December 1996 and as Vice President and Treasurer of FAFLIC, AFLIAC, APY and Hanover since February 1993 and of Citizens since September 1993 and December 1992, respectively.
He has been a Director and Vice President of APY since August 1992, of Citizens since December 1992 and of AFLIAC since September 1990.

As a result, the Distributor understands and agrees that AFLIAC Policy form 1036-99 or any other Contract or Policy form that may be added to Schedule 2 is not subject to the exclusive distribution rights granted to the Distributor hereunder in situations where AFLIAC or FAFLIC utilizes any such Contract or Policy form with funds other than funds sponsored by the Distributor or any of its affiliates.
If a purchaser rescinds a Variable Product or exercises its "free look right" under a Variable Product, the Distributor will pay to AFLIAC or FAFLIC, whichever is the issuing Insurance Company, within five (5) business days of a written request for repayment, the amount of any commission or other compensation the Distributor or a Distributor Agency affiliate received on the Premiums or Purchase Payments returned.
In addition to the foregoing, Transamerica agrees that during the term of this Agreement and thereafter it shall not, directly or indirectly, or through any third party utilize confidential information obtained pursuant to this Agreement to recruit or attempt to recruit any Allmerica Financial or AFLIAC insurance agents, brokers, general agents or other producers.
Such Policy Forms are based on the AFLIAC Policy Forms listed on Schedule 1.01 hereto.
In accordance with the terms of such Wholesaling Agreement, Wholesaler shall be responsible for only a single reimbursement amount, and such reimbursement shall be divided between the Company and AFLIAC, as they may mutually agree.
Because the Policy Forms include numerous changes requested by Transamerica which differ from the original AFLIAC Policy Forms which are listed on Schedule 1.01 hereto, it is understood and agreed by Transamerica that Allmerica Financial makes no representation that the Policy Forms will be approved for sale by any particular jurisdiction.
