Affliate means, with respect to any Person, another Person that directly or indirectly controls, is controlled by, or is under common control with, such Person. For purposes of this definition, control means the power to direct the management and policies of a Person, whether through the ownership of voting securities or partnership interests, through the right to designate or elect members of its board of directors or other governing board or body, by contract, or otherwise.
