Affinity Finance definition

Affinity Finance shall have the meaning ascribed thereto in the recitals to this Indenture.

  • Affinity Finance will classify you as a Private Retail Client which means that you will not be expected to have any professional knowledge or expertise in financial planning, and that you are not a business or commercial entity of any kind.

  • The Indenture imposes certain limitations on the incurrence of indebtedness, the making of restricted payments, the sale of assets, the incurrence of certain liens, the making of payments for consents, the entering into of agreements that restrict distribution from restricted subsidiaries, transactions with affiliates, the business activities of Affinity Finance and the consummation of mergers and consolidations.

  • Affinity Finance will not Incur any material liabilities or obligations other than its obligations pursuant to the Notes and pursuant to other Indebtedness permitted to be Incurred by the Company or any Guarantor (including under the Credit Agreement) and liabilities and obligations pursuant to business activities permitted by this Section 3.21.

  • The Joinder Agreement has been duly executed and delivered by Affinity Finance.
