Affilliate definition

Affilliate means, with respect to any person, any person directly or indirectly controlling, controlled by or under common control with, such person. For the purposes of this definition, “control” (including, with correlative meaning, the terms “controlling”, “controlled by” and “under common control with”) means the possession, directly or indirectly, of the power to direct or cause the direction of management and policies of such person through the ownership of more than fifty per cent.   • Except as set forth on Schedule 5.16, the lease relating to any such real property leased by the Company from any of the Stockholders or any Affilliate of any of the Stockholders will be terminated as of the Closing Date and a new lease in substantially the form of Annex VI hereto (or with terms substantially similar to those of Annex VI) will be entered into as of the Closing Date on the terms set forth on Schedule 5.16.
