All of the members of each such committee shall meet the “independence” requirements for its members as prescribed by the Commission, NASDAQ and AFEP-MEDEF, except that ▇▇▇▇▇▇ ▇▇▇▇▇▇ may serve on the Audit Committee until the first (1st) anniversary of the Effective Time.
