As an alternative, EESI may calculate the Energy Charge using prices of Base Products and Peak Products acquired or deemed to be acquired for EESI customers, through the implementation of the Energy Price Setting Plan approved by the AEUB for EESAI in respect of EESAI’s Regulated Rate Option obligations in the Aquila Networks Canada (Alberta) Ltd.
Following execution of this Settlement Agreement by ▇▇▇▇▇ and all Consultation Parties, ▇▇▇▇▇ agrees to file it with the AEUB for approval on an expedited basis.
Except in connection with the AEUB Approval, no consent, approval or authorization of, filing or registration with, or notification to, any governmental or regulatory authority or consent, approval or authorization of any Person, is required on behalf of Abraxas or the Purchaser in connection with the execution and delivery of this Agreement by it or the consummation of the transactions contemplated by this Agreement.
In addition, Buyer agrees that, within one hundred (120) days after the Closing Date or such shorter period of time as may be stipulated pursuant to AEUB requirements or Applicable Law, Buyer shall replace all signs located along the Pipeline Systems, including at pump stations, measurement stations, LACT Facilities, river crossings and road crossings, that identify Seller or any other member of the BP Group as the operator of such Pipeline Systems.
Unless otherwise agreed by the parties to this Settlement Agreement, if the AEUB rejects this Settlement Agreement in whole or in part, this Settlement Agreement will be null and void.
Buyer shall use due diligence to provide Seller with information requested by the AEUB which Seller does not have available to it and which Buyer has available to it.
In the event that either Party is required by the AEUB to place a security deposit or deposits with the AEUB in order to secure the AEUB's consent to the transfer of the Well Licenses, the Party required to place such a deposit agrees and covenants that it shall post such a deposit or deposits forthwith upon being required to do so.

This Settlement Agreement is contingent on the AEUB accepting the provisions of this Settlement Agreement as contemplated in Section 68 of the Electric Utilities Act.
On the advice of the independent Advisor, EESAI and the Consultation Parties have agreed that that the structure and contents of this Schedule constitute Commercially Sensitive Information and therefore have further agreed that the structure and contents of this Schedule should be excluded from any public filing with the AEUB.
