• Aerocell is a corporation duly organized, validly existing and in good standing under the laws of the State of Arkansas.

• From and after December 31, 1997, neither Aerocell nor K▇▇▇▇-▇▇▇▇▇ shall change its fiscal year from the Fiscal Year.

• The Lenders shall be satisfied in all material respects (i) with the terms, form and substance of the K▇▇▇▇-▇▇▇▇▇ Acquisition and the documentation related thereto and (ii) that the Aerocell Acquisition and the K▇▇▇▇- ▇▇▇▇▇ Acquisition were made in compliance with all applicable laws and regulatory approval requirements and all contractual approval and consent requirements related thereto.

• Except as disclosed on SCHEDULE 7.01-S, no Borrower or Guarantor, by reason of the transactions contemplated hereby (including, without limitation, the Aerocell Acquisition and K▇▇▇▇-▇▇▇▇▇ Acquisition), has any obligation to make any payment to any employee pursuant to any Plan or existing contract or arrangement.
