This Memorandum of Ground Lease and Purchase Option (this “Memorandum”) is entered into as of by and between the City of Glendale, an Arizona municipal corporation (the “City”), and AEG Management Glendale, LLC, a Delaware limited liability company (“Tenant”).

Such insurance shall name the State of Hawaii, the Hawaii Tourism Authority, AEG Management HCC, LLC., and all of the members, officers, agents, and employees of each of them as additional insured with respect to claims arising out of or directly or indirectly relating to performance under the Agreement and shall provide for thirty (30) days advance notice of cancellation, reduction of coverage or non-renewal to the State of Hawaii, the HTA, HCC, and AEG Management HCC, LLC.
The Renter shall defend, indemnify, and hold harmless the State of Hawaii, the HTA, the HCC, AEG Management HCC, LLC.
