Advertising Structures definition

Advertising Structures means the freestanding digital LED outdoor advertising structure located on the ARTIC Site adjacent to State Route 57 and two (2) interior charging stations.
Advertising Structures means the advertisements and advertising structures including hoardings whether illuminated or otherwise to be erected on the Sites, as further described in the Specifications.
Advertising Structures means freestanding structures of any kind erected, used, or maintained for advertising purposes located inside or outside the ARTIC Facility, upon which any Digital “Affiliate” shall mean any person or entity directly or indirectly, through one or more intermediaries, controlling, controlled by or under common control with Contractor, which shall include each of the constituent members of Contractor’s [limited liability company][update type of entity]. The term “control,” as used in the immediately preceding sentence, means, with respect to a person that is a corporation, the right to exercise, directly or indirectly, at least 50% of the voting rights attributable to the shares of the controlled corporation, and, with respect to a person that is not a corporation, the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of the controlled person, LED or Static advertisement message may be placed.

Examples of Advertising Structures in a sentence

  • ADVERTISING PROVIDER shall submit a complete set of "As-Built'' plans to CITY within thirty (30) days following substantial completion of the Advertising Structure(s).

  • ADVERTISING PROVIDER will install and construct indoor and outdoor Advertising Structure(s), and other related improvements in order to adequately support the indoor or outdoor Advertising Structure(s) proposed for each of the Designated Areas.

  • Beginning on the Advertising Structures Commencement Date and thereafter during the Term, ADVERTISING PROVIDER shall pay to CITY an annual license fee ("Annual License Fee") for the License in an amount equal to the greater of fifty-five percent (55%) of Gross Advertising Revenue (as defined below) from the advertising or the applicable Minimum Annual Guarantee ("MAG") as defined below.

  • If an Obstruction is placed on an adjacent property or in the viewable vicinity of the Advertising Structures, which diminishes the advertising value, then the Minimum Annual Guarantee shall be adjusted accordingly and prorated for the current calendar year of the Agreement.

  • ADVERTISING PROVIDER shall notify CITY if ADVERTISING PROVIDER determines that any Obstruction has been placed on the Designated Areas or the Project Site that impairs the view of the Advertising Structures, and CITY shall have the option to either remove such Obstruction or find a Designated Alternative Area for the Advertising Structure.

  • ADVERTISING PROVIDER agrees to clean and keep in good appearances and in good working order all Advertising Structures and Designated Areas, including any and all other improvements.

  • The Advertising Structure(s) shall be constructed by a qualified general contractor designated by ADVERTISING PROVIDER ("Contractor") pursuant to a written agreement between ADVERTISING PROVIDER and the Contractor ("Construction Contract").

  • Such submittals shall include design plans in sufficient detail to facilitate the evaluation of the proposed Advertising Structures.

  • ADVERTISING PROVIDER shall bear or cause its Subcontractors to bear all costs and expenses involved in the operation of the Advertising Structures or arising from the occupancy by ADVERTISING PROVIDER and ADVERTISING PROVIDER’s Subcontractors of the Designated Areas, as well as repair and maintenance incident thereto, provided that if such costs result from the negligent or willful acts or omissions of CITY or any of CITY’s employees or other Subcontractors, CITY shall bear such costs and expenses.

  • ADVERTISING PROVIDER will be responsible for monthly electricity fees associated with the operation of the Advertising Structures.
