If Franchisor, subsequent to its approval of Marketing Materials or Local Advertising Programs, withdraws its approval, Franchisee must immediately cease the use, distribution, and dissemination thereof.
Franchisee will undertake Local Advertising Programs that will be (i) at Franchisee’s expense, (ii) conducted to the extent that Franchisee deems necessary, and (iii) in accordance with the Standards.

Prior to public use of any Marketing Materials for Local Advertising Programs or for other purposes, Franchisee must submit for Franchisor’s approval samples of Marketing Materials that have not been previously approved by Franchisor; provided, however, that such approval or disapproval shall be given in a period that shall not exceed ten (10) business days from receipt of such Marketing Materials.
The Advertising Fund will be utilized by HomeLife to formulate, develop, produce and conduct advertising and promotional programs which may cover television and radio commercials, billboards, busboards, commercial prints, merchandising materials, special promotions, and similar advertising and promotional materials (collectively the "Advertising Programs") for the benefit of HomeLife and all of its participating independent brokers.
All costs and expenses incurred by HomeLife in formulating, developing, producing and conducting the Advertising Programs will be paid from the Advertising Fund.
In addition, HomeLife will be entitled to be reimbursed from the Advertising Fund for its administrative and overhead expenses incurred in connection with the Advertising Programs and the administration of the Advertising Fund, to a maximum of twenty (20%) per cent of the total annual contributions made by all participating independent brokers to the Advertising Fund.
Any such person will be entitled to receive a fee payable out of the Advertising Fund, in respect of the services rendered in formulating, developing, producing and conducting the Advertising Programs, in such amount as HomeLife determines, provided that the fees so paid are competitive with fees generally being charged by advertising agencies in the market area in question for services of a comparable nature.
HomeLife may delegate its responsibilities in connection with the Advertising Programs to persons of its own choosing, including persons not dealing at arm's length with HomeLife.
Such records will include, without limitation, all documents of Hertz and such Hertz Licensee information as Hertz may have in its custody pertaining to the Advertising Programs and the Acquisition of Ford Vehicles by Hertz and Hertz Licensees.
