Administrative Trust means the trust created pursuant to the Administrative Trust Agreement on the Effective Date in accordance with this Plan, the Confirmation Order and the Administrative Trust Agreement, the purposes of which include, without limitation, (i) the receipt of the assets of the Debtors' Estate on behalf of and for the benefit of the holders of Claims under this Plan and otherwise to act as a "liquidating trust" within the meaning of Treasury Regulations Section 301.7701-4(d), (ii) the sale, disposition, collection, or other realization of value of any kind whatsoever in respect of the Remaining Assets, (iii) the preservation and distribution of the consideration to be distributed to holders of Claims pursuant to this Plan, the Administrative Trust Agreement, the Confirmation Order, or such other Order as may be entered by the Bankruptcy Court, (iv) the prosecution or settlement of objections to Disputed Claims and (v) the performance of all other obligations pursuant to this Plan, the Administrative Trust Agreement, the Asset Purchase Agreement, and any other orders entered by the Bankruptcy Court.
