Adjustment Multiplier definition

Adjustment Multiplier means at any Payment Date (the "Relevant Payment Date") for any Adjusted Principal Period, a fraction, the numerator of which shall be the aggregate Equipment Cost of all Units included in the Indenture Estate on the Relevant Payment Date (including in this numerator the Equipment Cost of any Excluded Unit for the Relevant Payment Date) and the denominator of which shall be the aggregate Equipment Cost of all Units included in the Indenture Estate at the commencement of such Adjusted Principal Period.
Adjustment Multiplier means, for any Adjusted Principal Period at --------------------- any Payment Date, a fraction, the numerator of which shall be the aggregate Equipment Cost of all Units included in the Indenture Estate immediately after such Payment Date (excluding the Equipment Cost of any Excluded Unit) and the denominator of which shall be the aggregate Equipment Cost of all Units included in the Indenture Estate at the commencement of such Adjusted Principal Period.
Adjustment Multiplier means the percentage equal to the product of (a) the sum of (i) one (1) minus (ii) the quotient of (x) Net Cash Proceeds divided by (y) $33,000,000 multiplied by (b) the Adjustment Factor.

Examples of Adjustment Multiplier in a sentence

  • The Adjustment Multiplier for the TSR Rank shall never exceed 125%.

  • The product of the Base Percentage Performance Shares Earned and the Adjustment Multiplier shall be limited to a maximum of 200% and is then multiplied by the grant amount to determine the number of Performance Shares earned.

  • If the Company in any manner issues or sells any Convertible Securities and the price per share for which Common Stock is issuable upon conversion or exchange thereof is less than the Adjustment Multiplier, then the maximum number of shares of Common Stock issuable upon conversion or exchange of such Convertible Securities shall be deemed to be outstanding and to have been issued and sold by the Company the time of the issuance or sale of such Convertible Securities for such price per share.

  • Any Annual Adjustment Multiplier shall be cumulative up to the level of each year’s cap and shall not decrease.

  • For illustrative purposes, the Index Adjustment Multiplier shall be the amount the Adjustment Date Index exceeds the Base Index, divided by the Base Index.

  • The Adjustment Multiplier for the TSR Rank shall never exceed [125]%.

  • The Monthly Fee and Product Price of such schedule will be adjusted by application of the Adjustment Multiplier also set out below.

  • On July 1st of each year during the Term, Carrier shall adjust the Priority Rate by the Fee Adjustment Multiplier in effect as of such date.

  • The product of the Base Percentage Performance Shares Earned and the Adjustment Multiplier shall be limited to a maximum of [200]% and is then multiplied by the grant amount set forth in Section 1 to determine the number of Performance Shares earned.

Related to Adjustment Multiplier

  • Applicable Multiplier means, with respect to any Rate Period for any Series of RVMTP Shares, the percentage set forth opposite the applicable credit rating most recently assigned to such Series by the Rating Agency in the table below on the Rate Determination Date for such Rate Period: *And/or the equivalent ratings of any other Rating Agency then rating the RVMTP Shares utilizing the highest of the ratings of the Rating Agencies then rating the RVMTP Shares.

  • Multiplier means the Multiplier specified in the Table.

  • Adjustment Fraction shall have the meaning set forth in Section 11(a)(i) hereof.

  • Adjustment Factor means, with respect to a share of the Fund (or one unit of any other security for which a Fund Closing Price must be determined), 1.0, subject to adjustment in the event of certain events affecting the shares of the Fund.   • Adjustment Period means the period from the Effective Date up to and including the Expiry Time;
