Additional Subsidiary Guarantees definition

Additional Subsidiary Guarantees means and include any Guaranty delivered by any Subsidiary Guarantor (now or at any time hereafter including pursuant to Section 11.9) which guaranties Debt of IHOP or of the Company, the beneficiaries of which are or become a party to, and thereby agree to undertake and perform the duties, rights and obligations of a party under, the Amended and Restated Intercreditor Agreement.
Additional Subsidiary Guarantees means one or more Deeds of Guarantee and Indemnity, entered into from time to time from the Australian Subsidiary in favor of a Purchaser (other than the Original Purchaser), in the form of the Initial Subsidiary Guarantee, as may be amended, restated or otherwise modified from time to time.
Additional Subsidiary Guarantees means the guarantees by the Subsidiaries of FTL-Cayman of the payment of the Company's 7% Debentures due 2011, the Company's 6 1/2% Senior Notes due 2003 and the Company's 7 3/8% Debentures due 2023.

Additional Subsidiary Guarantees. If the Company or any of its Restricted Subsidiaries acquires or creates another Domestic Subsidiary or if any Restricted Subsidiary becomes a Domestic Subsidiary of the Company after the date of this Indenture, then that newly acquired or created Domestic Subsidiary must become a Guarantor and execute a supplemental indenture and deliver an Opinion of Counsel to the Trustee; provided, that no such Domestic Subsidiary shall be required to become a Guarantor, execute a supplemental indenture and deliver an Opinion of Counsel (a) for so long as a Credit Agreement shall be in effect, if it is not an obligor thereunder and is not required to deliver a Guarantee under such Credit Agreement of the obligations of the Company thereunder or (b) if such Domestic Subsidiary is a Receivables Subsidiary." is hereby deleted in its entirety and replaced by the following: "Intentionally Omitted."

The amount of any Guarantee shall be deemed to be an amount equal to the stated or determinable amount of the related primary obligation, or portion thereof, in respect of which such Guarantee is made or, if not stated or determinable, the maximum reasonably anticipated liability in respect thereof as determined by the guaranteeing Person in good faith. The term “Guarantee” as a verb has a corresponding meaning.

  • Subsidiary Guarantor means, collectively, the Subsidiaries of the Borrower that are Guarantors.

  • Note Guarantee means the Guarantee by each Guarantor of the Company’s obligations under this Indenture and the Notes, executed pursuant to the provisions of this Indenture.

  • Permitted SBIC Guarantee means a guarantee by the Borrower of Indebtedness of an SBIC Subsidiary on the SBA’s then applicable form, provided that the recourse to the Borrower thereunder is expressly limited only to periods after the occurrence of an event or condition that is an impermissible change in the control of such SBIC Subsidiary (it being understood that, as provided in clause (s) of Article VII, it shall be an Event of Default hereunder if any such event or condition giving rise to such recourse occurs).

  • Non-Guarantor Restricted Subsidiary means any Restricted Subsidiary that is not a Subsidiary Guarantor.

  • Additional Security Documents shall have the meaning provided in Section 9.12(a).
