Additional Offer definition

Additional Offer has the meaning ascribed thereto in subsection 7.3.2;
Additional Offer has the meaning ascribed thereto at subsection 15.6.2;
Additional Offer means any (i) additional offer resulting from the reopening of the Original Offer for additional acceptances which may be initiated by the Company following the Original Offer period in accordance with the provisions of article 5-2-3-1 of the Reglement General du CMF or (ii) distinct offer (offre publique simplifiee) made by the Company for all of the then outstanding Shares of the Target following the Original Offer period in accordance with the provisions of Chapter 3 of Titre III of the Reglement General du CMF.

Examples of Additional Offer in a sentence

  • This additional period is referred to as the Additional Offer Period.

  • No person shall be hired, transferred or promoted after the effective date of this policy whose continued employment with the City would create a new violation of this policy.

  • Shareholders may withdraw any previously tendered Shares at any time prior to the completion of the Initial Offer Period, but not during the Additional Offer Period.

  • If, with respect to all or any portion of his or her Shares, a shareholder objects to the Offer during the Initial Offer Period and the conditions to the Offer have been satisfied or, subject to applicable law, waived by the Purchaser, such shareholder may tender such Shares during the Additional Offer Period.

  • We refer to this period as the Additional Offer Period and to the expiration of such period as the Final Expiration Date.

  • Notwithstanding any application received in response to the Additional Offer, the Directors may at their complete and absolute discretion place the Shortfall with any third party.

  • Section 3.3 of the Prospectus is amended to include the following:The effect of the Offer and the Additional Offer on the capital structure of the Company, assuming all Entitlements are accepted, and no Options are exercised prior to the Record Date, is set out below.


More Definitions of Additional Offer

Additional Offer has the meaning ascribed thereto in paragraph 13.1.5;
Additional Offer shall have the meaning given to this expression under Article 6.7 hereof;

Related to Additional Offer

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day. Final RTO Unforced Capacity Obligation:

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Change of Control Offer has the meaning provided in Section 4.15.

  • Best and Final Offer means a revision to an Offer submitted after negotiations are completed that contains the Offeror’s most favorable terms for price, service, and products to be delivered. Sometimes referred to as a Final Proposal Revision.

  • Net Proceeds Offer has the meaning provided in Section 4.16.

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock registered under the Securities Act.

  • Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;

  • Permitted Offer An Offer (i) pursuant to the terms of which the offeror offers to acquire a debt obligation (including a Collateral Obligation) in exchange for consideration consisting solely of Cash in an amount equal to or greater than the full face amount of such debt obligation plus any accrued and unpaid interest and (ii) as to which the Collateral Manager has determined in its reasonable commercial judgment that the offeror has sufficient access to financing to consummate the Offer.

  • Final Offering Circular means the final offering circular relating to the public offering of the Shares as filed with the Commission pursuant to Regulation A of the Rules and Regulations;

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

  • Extension Offer has the meaning specified in Section 2.15(a).

  • Increment Offer means a type of Virtual Transaction that is an offer to sell energy at a specified location in the Day-ahead Energy Market. A cleared Increment Offer results in scheduled generation at the specified location in the Day-ahead Energy Market.

  • Purchase Offer shall have the meaning assigned to such term in Section 2.25(a).

  • Net Proceeds Offer Amount has the meaning set forth in Section 4.16.

  • Mandatory Tender Notice means, in connection with the Mandatory Tender of VRDP Shares, a notice, substantially in the form attached to the VRDP Shares Remarketing Agreement as Annex II, delivered by the Fund or the Tender and Paying Agent on behalf of the Fund to the Holders and the Liquidity Provider in accordance with this Agreement and specifying a Mandatory Tender Event and Purchase Date.

  • Qualifying Offer shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Net Proceeds Offer Payment Date has the meaning set forth in Section 4.16.

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Shelf Offering Notice has the meaning set forth in Section 1(d)(i).

  • Market/Offer Price means the highest of (i) the price per share of Common Stock at which a tender or exchange offer therefor has been made, (ii) the price per share of Common Stock to be paid by any third party pursuant to an agreement with Issuer, (iii) the highest closing price for shares of Common Stock within the six-month period immediately preceding the date the Holder gives notice of the required repurchase of this Option or the Owner gives notice of the required repurchase of Option Shares, as the case may be, or (iv) in the event of a sale of all or any substantial part of Issuer's assets or deposits, the sum of the net price paid in such sale for such assets or deposits and the current market value of the remaining net assets of Issuer as determined by a nationally recognized investment banking firm selected by the Holder or the Owner, as the case may be, and reasonably acceptable to Issuer, divided by the number of shares of Common Stock of Issuer outstanding at the time of such sale. In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Offer to Purchase means an offer to purchase Notes by the Company from the Holders commenced by mailing a notice to the Trustee and each Holder stating:

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Offer Notice shall have the meaning set forth in Section 4.1.
