As President/Chief Executive Officer/Chancellor of this Institution, I agree this Institution and its Additional Location(s) (if any) will comply with all state and federal statutes, regulations, and rules applicable under this Agreement.
For Subscription Agreements with an Effective Date of December 3, 2021 or later, locations (including Additional Locations) will be deemed Enabled and Available for use at the earlier of sixty (60) days3 after the Effective Date (or the date of accepting the Additional Location Order) or as described above in this section.
Merchant may apply to add such Additional Locations provided that such Locations conduct the same type of business and sell the same type of Products.

Additional Locations submitted to receive Services under this Agreement shall be subject to approval by HPS, and Merchant shall submit a new Application for any such Additional Location(s).
Franchisee acknowledges that Franchisor and Franchisee have not had any discussion regarding possible Additional Locations or Additional Offices or opportunities to open Additional Locations or Additional Offices except as set forth in writing in the Statement of Prospective Franchisee signed by Franchisee in connection with this Agreement.
Notwithstanding the provisions of subparagraph 5.01(b) of the Franchise Agreement, Franchisor has agreed to waive the Additional Location Fees for any Additional Locations opened by Franchisee within an Exclusive Territory, as such term is defined in the Second Amendment to Real Estate Brokerage Franchise Agreement being executed concurrently herewith, during the initial term of the Franchise Agreement.

If Lender shall not be not provided with a waiver and consent from the owner of the Chief Executive Office or a bailment agreement from the owner or operator of any new Additional Location following a change in (a.) the location of Borrower’s Chief Executive Office or Additional Locations; or (b.) the ownership of the Chief Executive Office or Additional Locations.
