Additional Collaboration Target definition

Additional Collaboration Target has the meaning set forth in Section 2.5.1.
Additional Collaboration Target means each *** and *** that is identified by FivePrime and/or BMS in the performance of the Research Program during the Research Term and that is selected by BMS pursuant to Section 4.2.2. For clarity, Additional Collaboration Targets exclude any *** or *** selected by BMS as Included Collaboration Targets pursuant to Section 4.2.1.
Additional Collaboration Target has the meaning given in Section 2.3(a).

Examples of Additional Collaboration Target in a sentence

  • For each Additional Collaboration Target, BMS shall pay FivePrime a fee of *** for each *** period as partial consideration for the maintenance of the exclusive license grant under Section 6.1.2 (Exclusive Commercial License) (each such amount, the “License Maintenance Fee”).

  • FivePrime shall invoice BMS on or before the conclusion of the Option Term and on or before each anniversary thereafter for License Maintenance Fees for each Additional Collaboration Target.

  • Unless and until Jazz designates an Additional Collaboration Target pursuant to clause (a) of Section 2.5.1, Jazz has the one-time right to initiate a [***] Research Program for any [***] Initial Collaboration Target.

  • For the avoidance of doubt: (i) the fact that Chimera has identified a Target as a potential Collaboration Target shall be the Confidential Information of Chimera and subject to the obligations and exemptions of ARTICLE 7 of this Agreement and (ii) the fact that a Target could not be included as an Additional Collaboration Target [***] shall be the Confidential Information of GSK and subject to the obligations and exemptions of ARTICLE 7.

  • For so long as Jazz has the right to designate an Additional Collaboration Target or Replacement Target, upon Jazz’s reasonable request (such requests not to exceed [***] times per Calendar Year), Codiak shall disclose to Jazz those Targets that are Excluded Targets on the basis that Codiak has an active internal research program.

  • For each Confirmed Hit that BMS selects as an Additional Collaboration Target, BMS shall pay to FivePrime a non- refundable, non-creditable payment of *** within *** calendar days after BMS delivers to FivePrime the written notice identifying such Confirmed Hit as an Additional Collaboration Target pursuant to Section 4.2.2 (the “Selection Fee”).

  • If, following the process described in Section 3.6 (Nomination), such Proposed Target becomes an Additional Collaboration Target, then GNE would pay Adaptimmune the Additional Collaboration Target Designation Fee described in Section 10.3.3 (Additional Collaboration Targets).

Additional Collaboration Target is defined in Section 2.2.2 (Additional Collaboration Targets).
Additional Collaboration Target means each Target that is selected by BMS as a Collaboration Target pursuant to Section 3.5 (the first Target so selected, the “First Additional Collaboration Target” and the second Target so selected, the “Second Additional Collaboration Target”). For clarity, Additional Collaboration Targets exclude the Initial Collaboration Targets.

Related to Additional Collaboration Target

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Development Candidate means a Collaboration Compound designated by Biogen Idec as a Development Candidate in accordance with Section 2.6.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Product Candidate means any pharmaceutical product developed, manufactured and/or tested by or on behalf of the Company that has not received a Regulatory Authorization for commercial distribution other than in connection with pre-clinical or clinical trials.

  • Acquisition Target means any Person becoming a Subsidiary of the Company after the date hereof; any Person that is merged into or consolidated with the Company or any Subsidiary of the Company after the date hereof; or any Person with respect to which all or a substantial part of that Person’s assets are acquired by the Company or any Subsidiary of the Company after the date hereof.

  • Collaboration Term has the meaning set forth in Section 2.1(h).

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Additional SDU Study means a deliverability study that a Developer may elect to pursue as that term is defined in OATT Section 25 (OATT Attachment S). For purposes of Section 23.4.5 of this Attachment H, “Affiliated Entity” shall mean, with respect to a person or Entity:

  • Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Collaboration Patents means any and all Patents that claim or cover any of the Collaboration Know-How.

  • Internal Collaboration means collaborative arrangements within a group of companies or within various strategic business. units/subsidiaries/operating divisions in order to gain a strategic position whilst sharing resources, profits and losses as well as risks

  • Development Plan has the meaning set forth in Section 3.2.

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Additional Indication means any indication other than the Initial Indication.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Development Schedule shall have the meaning set forth in Section 1.1.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Research Period means the research period as described in the Commissioned Research Plan. In accordance with the provisions of this Agreement, in the event that the Agreement ended prior to the completion date of the research originally set, the date the Agreement ends shall be read as the research period.

  • Independent candidate means any candidate who claims not to be affiliated with a political party, and whose name has been certified on the office-type ballot at a general or special election through the filing of a statement of candidacy and nominating petition, as prescribed in section 3513.257 of the Revised Code.

  • Program Patent Rights means any Patent Rights that contain one or more claims that cover Program Inventions.

  • Additional Product means any Product identified as such in the Product Terms and chosen by Enrolled Affiliate under this Enrollment.

  • Research Program has the meaning set forth in Section 2.1.

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.
