  • For purposes of this Agreement, an “Acquisition Proposal” means any proposal or offer relating to (i) the acquisition, sale or license of any of the Acquired Assets, other than inventory in the Ordinary Course of Business, (ii) any merger, acquisition, consolidation, sale or license of substantially all of the assets or similar transactions involving any Acquired Subsidiary, ADC (USA) or any ADC Foreign Subsidiary or (iii) sales of any capital stock of any Acquired Subsidiary.

  • Seller and ADC (USA) have complied with the health care continuation requirements of COBRA and any similar state law and the execution and delivery of this Agreement by Seller and the consummation of the transactions contemplated hereunder will not result in any obligation or liability to Buyer Group to any employee or former employee of ADC (USA) with respect to the U.S. Domestic Plans pursuant to the health care continuation requirements of COBRA.
